Procedures of Cross-Border insolvency cases
Explanatory Notes 1. Jurisdiction
In principle, cases concerning recognition of, and relief relating to foreign insolvency proceedings shall be placed under the exclusive jurisdiction of the Seoul Bankruptcy Court(§630). Meanwhile, a foreign representative may apply to the Seoul Bankruptcy Court, where the debtor has his/her place of business, his/her office or his/her domicile in the Republic of Korea(§631①).
2. Required accompanying documents
An application for recognition shall be accompanied by(§631①):
(a) A written statement concerning the legal basis and a summary of the overall foreign insolvency proceeding;
(b) A certificate from the foreign court affirming the existence of the foreign insolvency proceeding;
(c) A certificate from the foreign court affirming the appointment of the foreign representative;
(d) A written statement concerning the main points of the foreign insolvency proceeding, including statements of creditors, the debtor and other interested parties;
(e) A written statement concerning all other foreign insolvency proceedings over the debtor, which are known to the foreign representative.
Any document written in any foreign language shall be accompanied by a translation of document into an official language of the Republic of Korea.
3. Grounds for dismissal of recognition
In any of the following cases, the court shall dismiss an application applied for the recognition of a foreign insolvency proceeding(§632②):
(a) Where expenses determined by the court are not prepaid;
(b) Where required certificates or written statements are not submitted, or the establishment and contents of those documents are not bona fide;
(c) Where recognizing the foreign insolvency proceeding is contrary to the public policy of the Republic of Korea.
4. Provisional relief
From the time of filing an application for recognition until the application is decided upon, the Seoul Bankruptcy Court may, at the request of a foreign representative or on its own motion, grant relief as provided for in the provisions of §636① 1 through 3(§635①).
5. Grounds for dismissal of relief
The court shall dismiss an application applied for relief relating to a foreign insolvency proceeding, where granting the relief is contrary to the public policy of the Republic of Korea(§636③).
6. Concurrent proceedings
When an application is filed for recognizing multiple international insolvency proceedings for the same debtor, the court shall hold a joint hearing thereon(§639①).
When recognition is granted for multiple international insolvency proceedings for the same debtor, the court may decide on which are to be a main foreign insolvency proceeding taking into account the location of the debtor's principal place of business and measures taken to protect creditors(§639②). In this regard, the court considers the Centre of Main Interests(COMI).
7. Cooperation
The court shall cooperate with any foreign court and the representative of the foreign insolvency proceeding over the following matters(§641):
(a) The exchange of opinions;
(b) The management and supervision of the debtor's business and properties;
(c) The coordination of multiple proceedings;
(d) Other necessary matters.
8. Hotchpot rule
Where a domestic insolvency proceeding, foreign insolvency proceedings or multiple foreign insolvency proceedings for the same debtor are in progress, any creditor who has received partial payment in respect of its claim in a foreign insolvency proceeding or overseas properties may not receive a payment for the same claim in a domestic insolvency proceeding regarding the same debtor, so long as the payment to the other creditors of the same class is proportionately less than the payment the creditor has already received(§642).

보충설명
1. 관할권
외국도산절차의 승인 및 지원에 관한 사건은 원칙적으로 서울회생법원의 관할에 전속합니다(법 제630조). 한편, 외국도산절차의 대표자는 외국도산절차가 신청된 국가, 즉, 대한민국에 채무자의 영업소·사무소 또는 주소가 있는 경우에 외국도산절차의 승인을 신청할 수 있습니다(법 제631조 제1항).
2. 필요적 첨부서류
승인신청서에는 다음과 같은 서류가 첨부되어야 하고, 당해 서류들이 외국어로 작성된 경우에는 한국어로 번역된 번역문이 첨부되어야 합니다(법 제631조 제1항).
(1) 외국도산절차 일반에 대한 법적 근거 및 개요에 대한 진술서
(2) 외국도산절차의 개시를 증명하는 서면
(3) 외국도산절차의 대표자의 자격과 권한을 증명하는 서면
(4) 승인을 신청하는 그 외국도산절차의 주요내용에 대한 진술서(채권자·채무자 및 이해당사자에 대한 서술을 포함한다)
(5) 외국도산절차의 대표자가 알고 있는 그 채무자에 대한 다른 모든 외국도산절차에 대한 진술서
3. 승인기각사유
법원은 다음 각 호의 어느 하나에 해당하는 경우에는 외국도산절차의 승인신청을 기각하여야 합니다(법 제632조 제2항).
(1) 법원이 정한 비용을 미리 납부하지 아니한 경우
(2) 제631조 제1항 각호의 서면을 제출하지 아니하거나 그 성립 또는 내용의 진정을 인정하기에 부족한 경우
(3) 외국도산절차를 승인하는 것이 대한민국의 선량한 풍속 그 밖에 사회질서에 반하는 경우
4. 승인 전 명령
법원은 외국도산절차의 대표자의 신청에 의하거나 직권으로 외국도산절차의 승인신청이 있은 후 그 결정이 있을 때까지 제636조 제1항 제1호 내지 제3호의 조치를 명할 수 있습니다(법 제635조 제1항).
5. 지원기각사유
법원은 지원신청이 대한민국의 선량한 풍속 그 밖의 사회질서에 반하는 때에는 그 신청을 기각하여야 합니다(법 제636조 제3항).
6. 병행절차
채무자를 공통으로 하는 여러 개의 외국도산절차의 승인신청이 있는 때에는 법원은 이를 병합심리하여야 합니다(법 제639조 제1항).
채무자를 공통으로 하는 여러 개의 외국도산절차가 승인된 때에는 법원은 승인 및 지원절차의 효율적인 진행을 위하여 채무자의 주된 영업소 소재지 또는 채권자보호조치의 정도 등을 고려하여 주된 외국도산절차를 결정할 수 있습니다(법 제639조 제2항). 이와 관련하여 법원은 주된 이익의 중심지(Centre of Main Interests, COMI)를 고려합니다.
7. 공조
법원은 동일한 채무자 또는 상호 관련이 있는 채무자에 대하여 진행 중인 국내도산절차 및 외국도산절차나 복수의 외국도산절차간의 원활하고 공정한 집행을 위하여 외국법원 및 외국도산절차의 대표자와 다음 각 호의 사항에 관하여 공조하여야 합니다(법 제641조 제1항).
(1) 의견교환
(2) 채무자의 업무 및 재산에 관한 관리 및 감독
(3) 복수 절차의 진행에 관한 조정
(4) 그 밖에 필요한 사항
8. 배당의 준칙
채무자를 공통으로 하는 국내도산절차와 외국도산절차 또는 복수의 외국도산절차가 있는 경우 외국도산절차 또는 채무자의 국외재산으로부터 변제받은 채권자는 국내도산절차에서 그와 같은 조 및 순위에 속하는 다른 채권자가 동일한 비율의 변제를 받을 때까지 국내도산절차에서 배당 또는 변제를 받을 수 없습니다(법 제642조).
